  3. This BitTorrent Open Source License (the "License") applies to the BitTorrent
  4. client and related software products as well as any updates or maintenance

  271. 9. Termination.
  272. a. Automatic Termination Upon Breach. This license and the rights granted

  276. via email to the address listed in the 'WHOIS' database of the registrar for

  284. b. Termination Upon Assertion of Patent Infringement. If you initiate litigation
  285. by asserting a patent infringement claim (excluding declaratory judgment actions)
  286. against Licensor or a Contributor (Licensor or Contributor against whom you
  287. file such an action is referred to herein as Respondent) alleging that Licensed
  288. Product directly or indirectly infringes any patent, then any and all rights
  289. granted by such Respondent to you under Sections 1 or 2 of this License shall
  290. terminate prospectively upon sixty (60) days notice from Respondent (the "Notice
  291. Period") unless within that Notice Period you either agree in writing (i)
  292. to pay Respondent a mutually agreeable reasonably royalty for your past or
  293. future use of Licensed Product made by such Respondent, or (ii) withdraw your
  294. litigation claim with respect to Licensed Product against such Respondent.
  295. If within said Notice Period a reasonable royalty and payment arrangement
  296. are not mutually agreed upon in writing by the parties or the litigation claim
  297. is not withdrawn, the rights granted by Licensor to you under Sections 1 and
  298. 2 automatically terminate at the expiration of said Notice Period.
  299. c. Reasonable Value of This License. If you assert a patent infringement claim
  300. against Respondent alleging that Licensed Product directly or indirectly infringes
  301. any patent where such claim is resolved (such as by license or settlement)
  302. prior to the initiation of patent infringement litigation, then the reasonable
  303. value of the licenses granted by said Respondent under Sections 1 and 2 shall
  304. be taken into account in determining the amount or value of any payment or
  305. license.
  306. d. No Retroactive Effect of Termination. In the event of termination under
  307. Sections 9(a) or 9(b) above, all end user license agreements (excluding licenses
  308. to distributors and resellers) that have been validly granted by you or any
  309. distributor hereunder prior to termination shall survive termination.
  310. 10. Limitation of Liability. UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY,
  311. WHETHER TORT (INCLUDING NEGLIGENCE), CONTRACT, OR OTHERWISE, SHALL THE LICENSOR,
  312. ANY CONTRIBUTOR, OR ANY DISTRIBUTOR OF LICENSED PRODUCT, OR ANY SUPPLIER OF
  313. ANY OF SUCH PARTIES, BE LIABLE TO ANY PERSON FOR ANY INDIRECT, SPECIAL, INCIDENTAL,
  314. OR CONSEQUENTIAL DAMAGES OF ANY CHARACTER INCLUDING, WITHOUT LIMITATION, DAMAGES
  315. FOR LOSS OF GOODWILL, WORK STOPPAGE, COMPUTER FAILURE OR MALFUNCTION, OR ANY
  316. AND ALL OTHER COMMERCIAL DAMAGES OR LOSSES, EVEN IF SUCH PARTY SHALL HAVE

  323. 11. Responsibility for Claims. As between Licensor and Contributors, each
  324. party is responsible for claims and damages arising, directly or indirectly,
  325. out of its utilization of rights under this License. You agree to work with
  326. Licensor and Contributors to distribute such responsibility on an equitable
  327. basis. Nothing herein is intended or shall be deemed to constitute any admission
  328. of liability.
  329. 12. U.S. Government End Users. The Licensed Product is a commercial item,
  330. as that term is defined in 48 C.F.R. 2.101 (Oct. 1995), consisting of commercial
  331. computer software and commercial computer software documentation, as such
  332. terms are used in 48 C.F.R. 12.212 (Sept. 1995). Consistent with 48 C.F.R.
  333. 12.212 and 48 C.F.R. 227.7202-1 through 227.7202-4 (June 1995), all U.S. Government
  334. End Users acquire Licensed Product with only those rights set forth herein.
  335. 13. Miscellaneous. This License represents the complete agreement concerning
  336. the subject matter hereof. If any provision of this License is held to be
  337. unenforceable, such provision shall be reformed only to the extent necessary
  338. to make it enforceable. This License shall be governed by California law provisions
  339. (except to the extent applicable law, if any, provides otherwise), excluding
  340. its conflict-of-law provisions. You expressly agree that in any litigation
  341. relating to this license the losing party shall be responsible for costs including,

  343. The application of the United Nations Convention on Contracts for the International

  345. the language of a contract shall be construed against the drafter shall not
  346. apply to this License.
  347. 14. Definition of You in This License. You throughout this License, whether
  348. in upper or lower case, means an individual or a legal entity exercising rights
  349. under, and complying with all of the terms of, this License or a future version
  350. of this License issued under Section 7. For legal entities, you includes any
  351. entity that controls, is controlled by, is under common control with, or affiliated
  352. with, you. For purposes of this definition, control means (i) the power, direct
